Closing the buyer-side knowledge gap

Acquisition Advisory Services exists to help close that gap. We help buyers understand what to ask, what to verify, what may be missing, and which issues could materially affect value or post-closing performance.

Our mission is not to help transactions close. It's to help buyers make informed decisions, including the decision to renegotiate, pause, or walk away. We consider protecting a client from a bad purchase just as successful as helping them complete a good acquisition.

Our vision: To be a trusted buyer-side advisory platform for entrepreneurs acquiring construction, trade, manufacturing, or service-oriented businesses, and to support business buyers in the most meaningful way.

Founder Experience

Grounded in firsthand experience as both a buyer and a seller.

Our founder's perspective comes from direct entrepreneurial and transaction experience on both sides of the table, not just theory:

  • Started and later sold a small business at age 21
  • Acquired another business at age 26, outside his own prior field
  • Operated and grew that business for approximately 18 years
  • Ultimately sold it at a multimillion-dollar valuation
  • Direct, hands-on experience with both asset-sale and stock-sale transfers
  • Personally involved in hundreds of letters of intent, contracts, due diligence engagements, or acquisition efforts

That combination (buyer and seller, acquirer and operator) shapes our practical understanding of business ownership, acquisition, operations, growth, transition, and sale, and, importantly, the questions a buyer should ask before committing additional time and capital.

A Founder's Note

More people are buying existing businesses today than ever before, and a growing number are stepping into industries, like construction and service, where they have little or no direct experience. I understand that path firsthand, because I've walked it myself, as both a buyer and a seller.

My primary objective is to help buyers avoid the pain I went through across several of my own transactions. I've operated at nearly every level of a deal, buyer, seller, and the owner living with the aftermath of both, and that experience benefits almost any buyer walking into this process today.

I started and sold a small business in my twenties, then acquired a business I had never operated before. I grew it for eighteen years and eventually sold it at a multimillion-dollar valuation. Along the way, I handled both an asset sale and a stock sale, and I learned exactly what a buyer needs to ask, and verify, before inheriting the operational realities sitting behind a set of financial statements.

That's the difference between this practice and most brokers, attorneys, and M&A advisors: I'm not only analyzing transactions from the outside, I've been the operator living with the decisions made during diligence, long after the closing is done. I bring that same scrutiny to financial reporting, public works and government contract requirements, employment issues, day-to-day operations, working capital, and transition risk: the areas where I've seen buyers get surprised most often.

My goal with every engagement is simple: first, help you recognize a business that won't succeed under new ownership before you buy it; second, where a deal is fundamentally sound, help you understand the true cost of the issues diligence turns up so you can price and negotiate around them intelligently. In plain terms, we're finding, evaluating, and pricing the skeletons in the closet, because every business has them, whether or not anyone's told you yet.

I can't overstate this: the guidance you receive through this advisory relationship will be worth far more than the fee you pay for it.

Our Role

What we are, and what we deliberately are not.

What we are

An independent buyer-side business acquisition consultant. We organize information, identify risks, verify evidence, challenge assumptions, and help buyers make informed decisions.

What we are not

Unless separately licensed and expressly engaged, we are not a business broker, securities broker, investment bank, CPA firm, law firm, licensed appraiser, insurance broker, loan broker, environmental consultant, engineer, or fiduciary. We refer clients to qualified professionals for those matters.

Why aren't there more buy-side-only consulting firms?

It's a fair question, and one worth answering directly.

The economics of brokering

Most of the money in business transactions is made brokering deals, a business built on outsized paydays relative to the transactional risk and effort involved. That doesn't leave much incentive for advisors to instead choose buy-side-only work: less money, more hours, and more exposure, in exchange for representing only the buyer.

We do it anyway, because we've personally experienced, and watched other buyers experience, the pitfalls that come with relying solely on a seller-aligned broker for independent guidance. Plenty of brokers do good, honest work. But the incentives are structurally different from yours, and the broker doing that good work may not be the one listing the business you're trying to buy.

Insurance and risk

Professional liability (errors & omissions) coverage for this kind of consulting work is expensive and difficult to obtain, and for many firms, the size of a typical small-business transaction doesn't justify the premium relative to the fee.

We manage this through the depth of our process and the defined scope of our engagements. Our experience and engagement volume also help us secure more favorable coverage terms, reflecting a demonstrated, deep understanding of the businesses and transactions we work on, than a firm without that track record could typically achieve.
